1. Overview

These Terms govern your use of VSpec, provided by Moqlabs UG (limited liability) ("we", "us", or "our"). By registering for or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To access the Service, you must register for an account. You agree to provide accurate, complete, and current information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Moqlabs UG reserves the right to suspend or terminate your account if any information provided during the registration process is inaccurate, false, or incomplete.

4. Subscription Plans and Payment

VSpec offers the following subscription plans:

Free: Limited access at no cost, covering 1 project and up to 5 scenarios.
Solo: €19 per month, granting unlimited projects, unlimited scenarios, and API access.

Paid subscriptions are billed on a recurring monthly basis. Payment must be made via the checkout process at the time of subscription. All fees are exclusive of applicable taxes unless stated otherwise.

5. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, after which your account will revert to the Free plan. Fees already charged are generally non-refundable. If you believe a charge was made in error, please contact us at info@vspec.studio within 14 days of the charge.

6. Free Plan

VSpec offers a free tier with limited functionality. The Free plan is subject to the same Terms as paid plans and may be modified or discontinued at any time.

7. User Responsibilities

You agree not to misuse the Service in any way, including but not limited to unauthorized access, use of automated systems to abuse the platform, or interfering with the Service's operation. You must not attempt to reverse engineer, decompile, or disassemble any part of the Service.

8. Intellectual Property

All content, trademarks, and intellectual property related to the Service are the exclusive property of Moqlabs UG (limited liability). You may not use, copy, or distribute any content or materials without prior written consent from Moqlabs UG.

9. Termination

Moqlabs UG reserves the right to terminate or suspend your access to the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Service will cease immediately.

10. Limitation of Liability

In no event shall Moqlabs UG, its directors, employees, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising from your use of the Service. Moqlabs UG's liability to you for any direct damages shall be limited to the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Moqlabs UG, its affiliates, and their respective employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Service.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Kiel, Germany, and you hereby consent to the personal jurisdiction of such courts.

13. Changes to These Terms

Moqlabs UG reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
